1. Acceptance of Terms

By creating an account, accessing, or using 5E Intel's services (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

5E Intel provides an AI-powered interview and survey platform that enables:

  • Conducting automated interviews with candidates or survey respondents
  • Recording video, audio, and text-based interview sessions (when enabled by users)
  • Generating transcripts and analysis of interview sessions
  • Providing tools to assist hiring managers and researchers in evaluating candidates and responses
  • Creating and managing surveys for data collection purposes

3. User Accounts

3.1 Account Creation: You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility: You are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Eligibility: You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this requirement.

4. Recording and Consent

4.1 Interview Recording: Our Service may record video, audio, and/or text during interview sessions when this feature is enabled by the account holder. By conducting interviews through our platform, you represent and warrant that:

  • You have obtained all necessary consents from interview participants before recording
  • You will comply with all applicable laws regarding recording consent in your jurisdiction
  • You will inform participants that sessions may be recorded and how recordings will be used

4.2 Respondent Consent: If you are participating in an interview or survey as a respondent, you acknowledge that your responses, including any audio or video recordings, may be captured, stored, and analyzed as part of the Service.

5. Data Retention

5.1 Transcript and Recording Storage: All interview transcripts, recordings, and survey responses are retained indefinitely unless:

  • You request deletion through our data management tools
  • Your account is terminated
  • We are required by law to delete data

5.2 Backup and Recovery: We maintain backups of data for disaster recovery purposes. Deleted data may persist in backups for a reasonable period.

6. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Collect data from individuals without proper consent
  • Discriminate against candidates or respondents based on protected characteristics
  • Record conversations in jurisdictions where such recording is prohibited without consent
  • Misrepresent the nature of interviews or surveys to participants
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any illegal or unauthorized purpose

7. Employment Decisions

7.1 Advisory Nature: Any insights, scores, or recommendations provided by the Service are advisory only. You are solely responsible for all employment and hiring decisions.

7.2 Compliance: You are responsible for ensuring that your use of the Service complies with all applicable employment laws, including but not limited to anti-discrimination laws, the Fair Credit Reporting Act (FCRA), and state-specific employment regulations.

7.3 No Guarantee: We do not guarantee the accuracy, completeness, or suitability of any analysis or recommendations provided through the Service.

8. Intellectual Property

8.1 Our Rights: The Service, including all software, algorithms, designs, and content (excluding user data), is owned by 5E Intel LLC and protected by intellectual property laws.

8.2 Your Data: You retain ownership of all data you submit to the Service, including interview questions, survey content, and organizational information.

8.3 License to Us: You grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your data solely for the purpose of providing the Service.

9. Third-Party Services

The Service may integrate with third-party services (e.g., video conferencing, cloud storage). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 5E INTEL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless 5E Intel LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Your failure to obtain proper consent for recordings
  • Any employment decisions made using the Service

13. Termination

13.1 By You: You may terminate your account at any time by contacting us at support@5eintel.com.

13.2 By Us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

13.3 Effect of Termination: Upon termination, your right to use the Service will cease immediately. We may retain your data as required by law or for legitimate business purposes.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or via email. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15.2 Dispute Resolution: Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

15.3 Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 5E Intel LLC regarding the Service and supersede all prior agreements and understandings.
